Terms of use

These terms govern the use of Martialnote, a web service for managing martial arts schools. By creating an account, you accept them, along with the privacy policy. They are written to be read: if something is unclear, write to us.

Your account

You sign in with a link sent to your email, without a password. Protect access to your mailbox: anyone who opens it can sign in to your account.

The person who creates the school is its owner. They choose who has access (the instructors they invite) and are responsible for how those people use it. An account belongs to a single school.

Your school's data

The data you enter (students, parents, attendance, progress, fees) belongs to your school. You can export all of it, at any time, from the app. We do not sell it, do not share it and show no advertising.

Your school is responsible for the personal information it collects, including that of minors, and for having the right to collect it under the laws that apply to it. Martialnote hosts and processes it on your behalf, only to provide the service, as described in the privacy policy.

What you delete stays 30 days in the trash, where you can restore it, then is erased for good.

Pricing

Martialnote is free for a school with 25 active students or fewer, with no time limit and every feature. An active student had at least one activity in the last 90 days — an attendance at a class, a recorded dues payment or a curriculum item marked learned or validated, each on its own date — or their record is less than 90 days old. A record's date is the day it was created in the app, which nobody can change; for an imported record, it is the spreadsheet enrollment date, and a record imported without a date counts only through its activities. The record's active or inactive status and the displayed enrollment date do not enter the calculation. A record moved to the trash stops counting from that day. The count is automatic and visible in the app.

Beyond 25 active students, a subscription applies, monthly or yearly: $24.99 per month or $249 per year at the regular rate, or $14.99 per month or $149 per year, for life, at the founder rate, reserved for the first 25 paying schools. The yearly subscription gives about two months free. A school that has 25 active students or fewer at its first two monthly counts, then goes beyond that threshold, gets the founder rate for life without taking one of the 25 spots. A school that goes beyond 25 active students from its first two counts takes a founder spot if one is left; otherwise, the regular rate applies. Prices include taxes. The founder rate is locked for life, whether the school pays monthly or yearly.

Every school starts free, with no credit card. The number of active students is tracked every day; a month's measurement is the highest number reached during that calendar month, in the school's time zone. The subscription applies only if the school goes beyond 25 active students at two monthly counts in a row: you then receive a notice by email, and the first payment is due no sooner than 30 days later. Any change to the regular rate is announced by email at least 30 days in advance; the founder rate does not change.

Martialnote processes no payments between your school and its students: the app records who paid, and money keeps moving as before.

Payment and renewal. The subscription is paid by card, through Stripe, monthly or yearly, and renews automatically at the end of each period until cancelled. You may pay before the first payment date: the card is then saved and nothing is charged before that date. Receipts and invoices are sent to you by Stripe.

Cancellation and refund. The owner can cancel at any time; the cancellation takes effect at the end of the period already paid, with no pro rata refund of the rest of the period. Switching from monthly to yearly takes effect immediately, with credit for the unused part of the month paid; switching from yearly to monthly takes effect at the end of the paid year. The first payment is refunded in full (the whole year for a yearly subscription) on request to bonjour@martialnote.com, within 30 days of the first charge.

Dropping below the threshold. If a paying school has 25 active students or fewer at two monthly counts in a row, its subscription ends automatically at the end of the paid period, with no refund of that period; if it goes back above 25 at two counts in a row before then, it continues.

Non-payment. If a payment is not made or fails after the retries, the school becomes read-only: everyone can view and sign in, and the owner can export all data, but nothing can be changed until the owner pays. We warn the owner by email 3 days before, then on the day. No data is deleted because of non-payment.

Acceptable use

You agree to use Martialnote to run your school, in compliance with the law. In particular, you may not use the app to email people who have no connection to your school, enter information you have no right to hold, try to access another school's data or disrupt the service.

If these rules are broken, we may suspend a school's access, after notice by email except in an emergency (for example a mass mailing of unsolicited email). The data remains exportable during the suspension.

You may not create accounts automatically (through a script or a bot), use Martialnote to send unsolicited or bulk emails, or work around the service's limits. Using a personal assistant for the owner — for example to draft or send their messages — is allowed, on their responsibility. A school may be suspended for abusive use; it then becomes read-only: viewing and exporting stay possible, but nothing leaves Martialnote until the suspension is lifted.

Service availability

We do our best to keep Martialnote available and to back up your data every day. Interruptions can happen, for maintenance or because of a provider; we cannot guarantee a service free of interruptions or errors.

The service may change: features may be added, changed or removed. If Martialnote were to shut down, you would get six months' notice and an automatic export of your data.

Closing your account

You can stop using Martialnote at any time. To close your school or delete your account, write to bonjour@martialnote.com; export your data first if you want to keep it. A subscription already paid is not refunded pro rata, except the first payment within 30 days (see Pricing).

Liability

Martialnote is an organizing tool: decisions made from its data (ranks, fees, communications) remain your school's. To the extent permitted by law, our liability is limited to the amounts you paid us in the last 12 months, and we are not liable for indirect losses.

Nothing in these terms limits the rights the law gives you, including Québec's Consumer Protection Act if it applies to you.

Changes to these terms

If these terms change in a significant way, you will be notified by email at least 30 days in advance. Continuing to use Martialnote after that date means you accept them; otherwise, you can export your data and close your account.

Governing law

These terms are governed by the laws of Québec and the federal laws of Canada that apply there. Any dispute falls under the courts of Québec.
